These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and VIP Black Line LLC ("USVisaGPT," "we," "us," or "our") governing your access to and use of the USVisaGPT platform. Please read these Terms carefully. By accessing or using the platform, you agree to be bound by them.

1. Acceptance of Terms

By creating an account, submitting an immigration profile, purchasing a report, or otherwise using USVisaGPT in any way, you confirm that: (a) you have read and understood these Terms; (b) you are at least 18 years of age; (c) you have the legal capacity to enter into a binding agreement; and (d) you agree to comply with these Terms and all applicable laws and regulations.

If you are using the platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. In that case, "you" refers to both you individually and the organization.

If you do not agree to these Terms, you must immediately discontinue your use of the platform.

2. Platform Description and Services

USVisaGPT is an AI-first immigration intelligence platform. Our services are designed to demystify the U.S. immigration process by providing data-driven, USCIS-aligned analysis before you commit to costly legal fees. The platform offers:

  • Immigration Profile Assessment: A structured questionnaire capturing your education, professional background, achievements, business activities, and investment history, relevant to O-1 (Extraordinary Ability), EB-2 NIW (National Interest Waiver), and E-2 (Investor) visa pathways
  • AI Eligibility Scoring: A proprietary scoring engine trained on real case data and USCIS evaluation criteria that produces a ranked visa match with a numerical approval strength score
  • USCIS-Aligned Strategy Report: A personalized written report identifying your best visa pathway, your approval score, case strengths and weaknesses, and a detailed step-by-step action plan for strengthening your petition
  • Gap Analysis: Precise identification of the evidentiary gaps or profile weaknesses that may affect your petition's success
  • Attorney Connection (Optional): Upon your request, an introduction to vetted independent immigration attorneys who specialize in your relevant visa category, with transparent fee structures

3. No Legal Advice; No Attorney-Client Relationship

USVisaGPT is not a law firm. We do not employ immigration attorneys in our service delivery capacity. The platform and all content, reports, scoring outputs, and recommendations generated by it are provided for informational purposes only and do not constitute legal advice, legal opinions, or the practice of law.

No attorney-client relationship is created between you and USVisaGPT, or between you and any attorney in our network unless you separately retain that attorney pursuant to a written engagement agreement with them directly. The introduction of attorneys through our platform is a referral service only.

Immigration law is complex and highly fact-specific. Results obtained for other individuals under similar circumstances are not a guarantee or predictor of your outcome. You are strongly encouraged to consult with and retain a licensed U.S. immigration attorney before preparing or filing any immigration petition.

4. No Guarantee of Outcomes

We make no representation, warranty, or guarantee that use of USVisaGPT will result in a successful visa application, immigration petition petition, or any other immigration outcome. Visa approvals are determined solely by the U.S. Citizenship and Immigration Services (USCIS) and other relevant government agencies, and are subject to agency discretion, evolving policy interpretations, geopolitical considerations, and individual case facts beyond our knowledge or control.

Our approval scores and visa strength assessments reflect our AI system's analysis based on the information you provide and our training data. Actual outcomes may differ materially. A high approval score does not guarantee approval, and a lower score does not mean your petition will be denied.

5. User Responsibilities and Representations

By using the platform, you represent and warrant that:

  • All information you provide in your immigration profile is true, accurate, complete, and not misleading
  • You will promptly update your profile if any information becomes inaccurate or outdated
  • You will not use the platform for any unlawful purpose or in any way that violates these Terms
  • You will not attempt to reverse engineer, decompile, or extract the underlying AI models, algorithms, or proprietary data from the platform
  • You will not use automated tools, scrapers, or bots to access or extract data from the platform
  • You will not submit any false, fraudulent, or misleading information in your profile

You acknowledge that the quality and accuracy of our AI outputs are directly dependent on the completeness and accuracy of the information you provide. Incomplete, inaccurate, or misleading profile submissions may significantly affect your assessment results.

6. Pricing and Payment

Access to the full USVisaGPT strategy report and associated features is available for a one-time fee as displayed at the time of purchase on the platform's pricing page. We may offer different pricing tiers, promotional rates, or bundled services, which will be clearly disclosed at the time of purchase.

All payments are processed by our third-party payment processor, Stripe. By submitting a payment, you agree to Stripe's Terms of Service and authorize us to charge your selected payment method for the amount displayed. We do not store your full payment card details on our servers.

All fees are in U.S. dollars (USD) unless otherwise stated. You are responsible for any taxes, duties, or charges imposed by your local jurisdiction on transactions with us.

7. Refund Policy

Due to the digital, immediately-deliverable nature of our AI-generated reports, all sales are final. We do not offer refunds, exchanges, or credits after a report has been generated and made available to you.

Exceptions are made only in the following limited circumstances:

  • Duplicate Payments: If you are charged more than once for the same purchase due to a technical error, we will refund the duplicate charge upon verification
  • Technical Failure to Deliver: If a technical error on our side prevents delivery of your purchased report and we are unable to resolve the issue within a reasonable time, you will receive a full refund

To request a refund under these exceptions, contact office@vipblackline.com within 14 days of your purchase, providing your account email, transaction ID, and a description of the issue. Approved refunds will be processed to your original payment method within 5–10 business days.

8. Attorney Connection and Marketplace

USVisaGPT may offer users the option to be connected with independent, licensed U.S. immigration attorneys. This is an optional feature and does not affect your access to the core AI assessment report.

8.1 Independent Attorney Status

Attorneys listed on or introduced through our platform are independent licensed professionals. They are not employees, agents, partners, or representatives of VIP Black Line LLC or USVisaGPT. Any services provided by an attorney to you are governed solely by the agreement between you and that attorney.

8.2 No Endorsement

The listing or introduction of an attorney through our platform does not constitute an endorsement, recommendation, or guarantee of that attorney's qualifications, competence, or results. We encourage you to conduct your own due diligence before engaging any attorney.

8.3 Attorney Responsibility

USVisaGPT is not responsible for the legal advice, services, actions, omissions, or outcomes of any attorney you engage through the platform. Any disputes with attorneys must be resolved directly with them.

9. Monetization and Attorney Fee Arrangements

We are committed to full transparency regarding how the platform generates revenue and how attorney relationships work.

9.1 Platform Monetization

USVisaGPT generates revenue through one-time user report fees as described in Section 6. We may also generate revenue through attorney subscription or access fees paid by attorneys for platform visibility, lead generation tools, or profile features. These fees are fixed and are not contingent on any user outcome, visa approval, or referral conversion.

9.2 No Fee Splitting

We do not receive contingency fees, referral fees, success-based compensation, or any portion of the legal fees charged by attorneys to users. We do not engage in fee-sharing arrangements with attorneys that would be prohibited by applicable bar rules or legal ethics standards.

9.3 Attorney Access Fees

Attorneys may pay subscription fees for platform access, enhanced visibility, or lead generation tools. These fees are charged regardless of whether any user engages the attorney or achieves any particular result. This model ensures our platform recommendations remain user-interest driven.

10. Intellectual Property

All content, functionality, features, algorithms, scoring models, software, design elements, text, graphics, and trademarks on the USVisaGPT platform are owned by or licensed to VIP Black Line LLC. All rights are reserved.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your personal, non-commercial immigration assessment purposes only. This license does not permit you to:

  • Copy, reproduce, distribute, or publicly display any platform content
  • Modify, adapt, translate, or create derivative works from platform content
  • Use any platform content for commercial purposes without our express written consent
  • Attempt to extract, reverse engineer, or replicate our proprietary AI models

The AI-generated report you receive upon purchase is licensed to you for your personal use in connection with your immigration planning. You may share it with an immigration attorney you retain. You may not publish, reproduce, or commercially exploit report content.

11. Dispute Resolution — Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Arbitration Agreement

By using USVisaGPT, you agree to resolve all disputes with us through binding individual arbitration, not through a court of law. You waive your right to a jury trial and your right to participate in a class action lawsuit.

Arbitration shall be conducted under the American Arbitration Association (AAA) Consumer Arbitration Rules. The arbitration shall take place in the County of Los Angeles, California, or via videoconference if agreed.

11.1 Scope of Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, the platform, or any service provided by USVisaGPT — including disputes about the validity of this arbitration clause — shall be resolved through binding arbitration.

11.2 Exceptions

Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent imminent harm or protect intellectual property pending arbitration. You may also bring small claims court actions where eligible.

11.3 No Class Actions

You agree that any arbitration shall be conducted on an individual basis only. You waive any right to bring claims as a class, collective, or representative action. No arbitrator shall have authority to consolidate the claims of multiple individuals or award classwide relief.

11.4 Arbitration Costs

AAA arbitration filing fees will be allocated in accordance with AAA Consumer Arbitration Rules. For claims under $10,000, we will pay all AAA filing and arbitration fees unless the arbitrator finds your claim to be frivolous or brought in bad faith.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

  • OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, LOSS OF GOODWILL, VISA DENIAL, IMMIGRATION DELAYS, OR ANY COSTS OF SUBSTITUTE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if any remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless VIP Black Line LLC, its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or the Privacy Policy
  • Your submission of false, misleading, or inaccurate information in your immigration profile
  • Your use of the platform in violation of applicable law
  • Any dispute between you and an attorney you engaged through our platform
  • Your infringement of any intellectual property or other rights of any third party

14. Disclaimers of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that the results obtained from using the platform will be accurate, reliable, or meet your expectations. Immigration law and USCIS policy may change at any time, and our platform may not reflect the most recent agency guidance at all times.

15. Termination

We reserve the right to suspend, restrict, or terminate your access to the platform at any time, without notice, if we determine in our sole discretion that you have violated these Terms, submitted false or fraudulent information, engaged in abusive behavior toward our team or platform, or if required by applicable law.

Upon termination, your license to use the platform ceases immediately. Sections 3, 4, 10, 11, 12, 13, 14, 16, and 17 of these Terms survive termination.

You may terminate your account at any time by contacting us at office@vipblackline.com. Termination does not entitle you to a refund of any fees paid except as provided in Section 7.

16. Governing Law and Jurisdiction

These Terms and any disputes arising hereunder are governed by the laws of the State of California, without regard to its conflict-of-law principles. Subject to the arbitration agreement in Section 11, any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you hereby consent to personal jurisdiction in those courts.

17. Miscellaneous Provisions

17.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and VIP Black Line LLC regarding the platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.

17.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity and enforceability of the remaining provisions.

17.3 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of VIP Black Line LLC.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms, including in connection with a merger, acquisition, or asset sale, without restriction.

17.5 Force Majeure

Neither party will be liable for failure or delay in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, acts of government, pandemics, internet outages, or other events of force majeure.

17.6 Updates to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or a prominent notice on the platform at least 14 days before they take effect. Your continued use of the platform after the effective date of any revision constitutes your acceptance of the updated Terms. If you do not agree, you should discontinue use of the platform.

17.7 Feedback

Any feedback, suggestions, or ideas you submit to us about the platform may be used by us without restriction or compensation to you. By submitting feedback, you assign to us all rights in such feedback.
